Corporate Governance

The basic concept and basic policy of Kawasaki Setsubi Kogyo’s corporate governance is as outlined below.

1. Basic concept
   In order to achieve sustainable growth and mid- to long-term improvement of our corporate value, we at Kawasaki Setsubi Kogyo shall establish a proper corporate governance infrastructure and shall conduct our business in a transparent, fair, and effective manner, while constantly pursuing appropriate cooperation with all stakeholders, including not only our shareholders but also our customers, business partners, employees, and the local community, with a recognition that fulfillment of our corporate governance responsibilities is a critical business task.
2. Basic policy
   1. Endeavor to ensure fairness and the rights of our shareholders.
   2. Endeavor for appropriate cooperation with stakeholders other than our shareholders.
   3. Endeavor to ensure appropriate information disclosure and transparency.
   4. Execute the role and responsibilities of the Board of Directors in an appropriate manner.
   5. Endeavor for constructive dialogue with our shareholders.

Corporate Ethics

The basic concept of the corporate ethics of Kawasaki Setsubi Kogyo is as outlined below.

1. Implementation of a code of ethics as a corporate entity
   When conducting business, we shall always stand for truth and do the right thing.
2. Respect for individuality and human rights, and prohibition of discrimination
   In order to create and preserve a pleasant workplace environment, we shall respect the individuality and human rights of all people. We shall also not engage in actions such as unprovoked discrimination, sexual harassment, or bullying of subordinates.
3. Promotion of environmental conservation
   In order to place greater value on nature and limited resources, and to reduce our impact on the global environment, we shall voluntarily and proactively strive to save energy and resources, minimize waste, promote the recycling of resources, prevent environmental pollution, and take other such measures.
4. Adherence to laws, regulations, and societal norms
   We shall act with an awareness of the importance of compliance and proactively pursue compliance with all relevant laws, regulations, and societal norms.
5. Ensuring proper accounting procedures and the reliability of financial reporting
   We shall carry out the recording, accounting, and disclosure of our corporate activities in strict compliance with the correct standards as defined by laws, regulations, etc., and we shall ensure the reliability of our financial reports.

Compliance Promotion System

Kawasaki Setsubi Kogyo shall endeavor to perform fair and equitable business activities while abiding by the basic concept of our corporate ethics and complying with any and all laws and regulations related to our business operations.

1. Compliance Committee
   With the goal of ensuring appropriate oversight of our compliance status and deliberation and decision-making on policies intended to ensure adherence to the basic concept of our corporate ethics, we have established a Compliance Committee chaired by our President.
2. Compliance report and consultation system
   Kawasaki Setsubi Kogyo has established internal and external consultation desks for matters relating to compliance. Both of these desks are obligated to maintain the confidentiality of their informants and are prohibited from engaging in unfair or disadvantageous treatment of whistleblowers.
